Terms of Service.

Plain terms for using nanti.ai and our products, including Nanti Sales Coach. By creating an account, subscribing, or installing a module, you agree to these terms. If you are agreeing for a company, you confirm you may bind it.

1. Who we are

nanti.ai builds specialized AI for businesses that run on the Odoo ERP. We provide it as software modules and hosted services. We are independent and are not affiliated with or endorsed by Odoo S.A.

2. The service

Our products read your Odoo data to produce guidance, such as coaching suggestions, scores, and summaries. That guidance is informational. It does not replace your own judgment, and you decide what to act on. We may add, change, or retire features as the products evolve; we describe status honestly on this site.

3. Your account and your responsibilities

You are responsible for your account, your credentials, and everything done under them. You are also responsible for your own due diligence:

  • Test on staging first. Evaluate every module and update on a staging copy of your Odoo before you use it in production, and confirm it fits your configuration, data, and workflow.
  • Keep current backups. Maintain your own working backups of your Odoo database and files at all times.
  • Review before you act. Check each suggestion, price, discount, and figure before relying on it. Our modules are tested before release, but every Odoo is configured differently, and the final decision is yours.
  • Use the service only for lawful purposes, keep your Odoo and its access secure, and give us accurate information.

4. Fees, trial, and billing

Paid plans are billed monthly, upfront, in USD, as published on the pricing section. New paid accounts start with a 7-day full-feature trial. Payments are handled by Razorpay; we never see or store your card details. Prices are all-inclusive: taxes and fees are included. You can cancel any time, effective after the current paid month. Cancellation and refunds are covered by our Cancellation and Refund Policy, which is part of these terms.

5. Acceptable use

Do not misuse the service. That includes attempting to break, overload, reverse engineer, or gain unauthorized access to it, reselling it without our agreement, using it to build a competing product, or using it in violation of law or of another party's rights.

6. Intellectual property

We keep all rights in our software, models, designs, and brand. While your subscription is active and in good standing, you get a limited, non-exclusive, non-transferable right to use the product for your own business. Your data stays yours; you grant us only the access needed to run the service for you. Where a component is offered under an open-source license, that license governs it.

7. Third parties

The service runs on and connects to third parties, including Odoo, Google Cloud, Anthropic, and Razorpay. Your use of them is subject to their terms, and we are not responsible for their acts or outages. Odoo is a trademark of Odoo S.A.

8. No warranty

The service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any suggestion, score, or figure it produces is accurate, complete, or suitable for your decisions. Coaching is guidance, not instruction. You remain responsible for your pricing, discounts, and commercial choices.

9. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the service or these terms, whether in contract, tort (including negligence), or any other theory, is limited to the greater of:

  • the last amount you paid us for the service, or
  • the amount of your most recent subscription payment to us.

This cap is a single, combined limit across all claims, not per claim. Where you have not paid us anything, our total liability is limited to USD 100. We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, sales, data, or goodwill, or for the wider extent of any loss, even if we were advised such loss was possible. Nothing here limits any liability that cannot be limited by law.

10. Indemnity

You agree to cover reasonable claims, losses, and costs that arise from your misuse of the service, your breach of these terms, or your violation of law or of another party's rights.

11. Term and termination

These terms apply while you use the service. You can stop and cancel any time. We may suspend or end access if you breach these terms, if payment fails, or if we must to protect the service or comply with law. Sections that by their nature should survive, including intellectual property, no warranty, limitation of liability, and indemnity, continue after termination.

12. Changes

We may update these terms as the products and the law evolve. When we do, this page changes first, with a new date at the top. If a change is significant, we will make a reasonable effort to tell account holders. Continued use after a change means you accept it.

13. Governing law

These terms are governed by the laws of India, and the courts of India have jurisdiction, without limiting any mandatory consumer rights you have where you live.
